These Terms and Conditions ("Terms") govern your access to and use of Yoon (the "Platform"), including the Yoon mobile application, website, and any related services, features, or content (collectively, the "Services").

By accessing or using Yoon, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

• "Yoon," "we," "us," or "our" refers to Yoon App FZ-LLC, operated from In5 Tech, Dubai Internet City, United Arab Emirates.

• "User," "you," or "your" refers to any individual or entity accessing or using the Platform.

• "Content" means any text, images, videos, data, messages, profiles, reviews, or other materials submitted or displayed on the Platform.

• "Account" means a registered user profile on Yoon.

• "Paid Features" means any subscription, one-time purchase, seat-based access, boost, or other paid offering available on the Platform.

2. Eligibility

You must be at least 18 years old to use the Platform. By using Yoon, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you use Yoon on behalf of an organization, you represent that you have authority to bind that entity.

3. Account Registration and Security

You are responsible for maintaining accurate account information and for safeguarding your login credentials. You are solely responsible for all activity that occurs under your Account. We reserve the right to suspend or terminate Accounts that violate these Terms or pose a risk to the Platform or its community.

4. Platform Purpose and No Employment Relationship

Yoon is a professional networking and collaboration platform for film and creative professionals.

• Yoon does not act as an employer, recruiter, agent, or guarantor of work.

• We do not guarantee employment, bookings, income, or project outcomes.

• Any collaboration, engagement, or contractual relationship entered into between Users is solely between those Users.

5. User Conduct

You agree not to:

• Violate any applicable law or regulation;

• Misrepresent your identity, credentials, or experience;

• Infringe intellectual property, privacy, or publicity rights;

• Post unlawful, misleading, abusive, or discriminatory Content;

• Scrape, reverse engineer, or exploit the Platform without authorization;

• Circumvent access controls, usage limits, or security features.

We may remove Content or restrict access at our discretion.

6. User Content and License

You retain ownership of Content you submit. By posting Content on Yoon, you grant us a worldwide, non-exclusive, royalty-free license to host, use, reproduce, and display such Content solely for operating and improving the Platform. You represent that you have the necessary rights to post your Content and that it does not violate any law or third-party rights.

7. AI, Matching, and Recommendations

Yoon may use automated systems and AI-assisted tools to support search, matching, scoring, and recommendations. These features are informational and assistive only and do not constitute professional advice, employment decisions, or guarantees. Users remain responsible for their decisions and interactions.

8. Payments, Paid Features, and Refunds

Certain features of the Platform may require payment, including subscriptions, one-time purchases, access-based features, or other paid offerings (collectively, "Paid Features"). Payments for Paid Features are processed by third-party platforms, including the Apple App Store and Google Play, and their authorized service providers. Yoon does not store payment card details and receives only limited information necessary to confirm purchase or access status. Prices, billing cycles, and applicable terms are disclosed at the time of purchase. Subscriptions may renew automatically unless canceled prior to the renewal date in accordance with the policies of the relevant app store. Refunds are provided only where required by applicable law or the policies of the relevant app store. We reserve the right to modify pricing, features, or availability with reasonable notice, to the extent permitted by law.

9. Intellectual Property

All Platform software, branding, designs, trademarks, and features (excluding User Content) are owned by or licensed to Yoon and are protected by intellectual property laws. You may not copy, modify, or distribute Platform materials without prior written consent.

10. Privacy and Data Protection

Your use of Yoon is subject to our Privacy Policy, which explains how we collect, use, and protect personal data. The Privacy Policy forms part of these Terms.

11. Third-Party Services

The Platform may integrate or link to third-party services. We are not responsible for third-party content, services, or practices. Your use of third-party services is governed by their own terms.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, Yoon shall not be liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or reputation arising from your use of the Platform. Our total liability shall not exceed the amount paid by you to Yoon (if any) in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Yoon from any claims, damages, or expenses arising out of your use of the Platform, your Content, or your violation of these Terms.

15. Termination

We may suspend or terminate your Account at any time if you violate these Terms or pose a risk to the Platform or its community. You may terminate your Account at any time. Account deletion may be initiated through the Platform settings in accordance with our Privacy Policy.

Provisions relating to intellectual property, liability, and dispute resolution shall survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates.

Any dispute arising out of or in connection with these Terms shall be finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, UAE, and the language shall be English. If the arbitration agreement is found to be invalid, unenforceable, or incapable of being performed, the courts of the Dubai International Financial Centre (DIFC) shall have exclusive jurisdiction. Notwithstanding the foregoing, either party may seek urgent injunctive or interim relief, or enforcement of an arbitration award, before the competent courts of Dubai or the DIFC. These Terms are executed in the English language, which shall govern their interpretation.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
